URBAN ONE, INC. ANNOUNCES EXPIRATION AND FINAL RESULTS OF OFFERS AND CONSENT SOLICITATION

Urban One announced the expiration of its Offers, with Eligible Holders tendering approximately $476.02 million, representing about 97.580% of Existing Notes, on Dec. 15, 2025.
The Company tied the Proposed Amendments to consummation on the Settlement Date, conditioning them on Supporting Noteholders' performance and refinancing or lender consent.
Because tenders exceeded $185.0 million, accepted notes in the Tender Offer will be prorated, with approximately $475.52 million tendered for the Tender Consideration and $498,000 by Exchange Offer Only Participants.
Offering documents note the New Notes are unregistered and limited to Rule 144A qualified institutional buyers or Regulation S non‑U.S. persons, with Moelis & Company LLC and D.F. King & Co., Inc. overseeing the Offers.
