Patanjali Insurance? IRDAI Approves Patanjali, DS Group's Acquisition of Magma General Insurance
Patanjali will take a 73.6% stake and DS Group 24.5% in the insurer after the regulator cleared the nearly Rs 4,500 crore deal.
- On July 28, the Insurance Regulatory and Development Authority of India approved the acquisition of Magma General Insurance by Patanjali Ayurved and the Dharampal Satyapal Group, clearing the final regulatory hurdle for the nearly Rs 4,500 crore deal.
- Under the agreement, Patanjali will acquire a 73.6% stake while the Dharampal Satyapal Group owns 24.5%, acquired from selling shareholders including Adar Poonawalla-owned Sanoti Properties, which previously held 72.4% of the insurer.
- Magma General Insurance achieved breakeven in FY25 with profits of Rs 1 crore, compared to losses of Rs 141 crore in FY24, maintaining a solvency margin of 1.81x as of December 31, 2025.
- Patanjali will become the promoter and must continue to infuse capital to support solvency, with the regulatory approval valid for three months to complete the share transfer process.
- Leveraging its massive distribution network, Patanjali plans to expand the insurer's product portfolio and reach across India, specifically targeting under-served semi-urban and rural markets.
