Ipsen to Acquire Memo Therapeutics AG, Adding First-in-Class BK Polyomavirus Antibody, Expanding Rare Disease Portfolio
The deal includes a 200 million euro upfront payment and could top 700 million euro if development and sales milestones are met.
On Wednesday, Ipsen announced a definitive agreement to acquire Memo Therapeutics AG, focusing on potravitug, a first-in-class monoclonal antibody targeting BK polyomavirus in kidney transplant recipients.
BK polyomavirus reactivation affects approximately 30% of kidney transplant patients within the first year, yet no approved targeted therapies exist, forcing clinicians to reduce immunosuppression and risking graft rejection.
The Phase II SAFE KIDNEY II trial demonstrated potravitug's efficacy, with biopsy-proven BK polyomavirus associated nephropathy declining from 51.2% to 31.6% in the treatment group by week 20, versus no change in placebo.
Shareholders of Memo Therapeutics AG will receive €200 million at closing, with deferred payments pushing total potential consideration above €700 million, expected during Q3 2026 subject to customary conditions.
Ipsen plans to initiate the SAFE KIDNEY III trial later this year, while Memo Therapeutics AG transfers unrelated assets including the DROPZYLLA platform to a newly incorporated company, Memorises Bio.
