Expand Energy Corporation to Acquire Twin Eagle
The takeover will make Expand Energy a leading gas marketer and lift annual free cash flow from marketing and commercial by 50% to $750 million, the company said.
On Tuesday, Expand Energy Corporation announced a $1.25 billion agreement to acquire natural gas marketer Twin Eagle Holdings NA LLC from private equity firm Five Point Infrastructure.
The acquisition advances Expand's strategy to move beyond wellhead production by managing its own marketing, trading, and logistics, reducing reliance on middlemen and capturing more value from the gas supply chain.
Expanding its footprint across North America, the combined entity will reach approximately 90% of the natural gas market with 14 Bcf/d of marketed volume serving more than 1,000 customers.
The company raised its annual free cash flow target by 50% to $750 million; RBC analyst Scott Hanold noted a "mixed view from investors" due to the acquisition's higher price point.
Expected to close in the third quarter of 2026, the deal will see Twin Eagle operate as a wholly owned subsidiary under Chief Executive Jeremy Davis and his management team.
