CoreWeave launches $3 billion convertible debt sale
- On Thursday, CoreWeave announced plans to raise $3 billion through a convertible debt offering and launched an at-the-market program for up to 35 million shares to support AI infrastructure buildout.
- The company seeks to accelerate AI infrastructure development and migrate its enterprise credit profile toward investment grade, having increased contracted power to about 4.2 gigawatts from 3.7 gigawatts at end of June.
- CoreWeave reported a $104.2 billion revenue backlog in the second quarter, with more than $25 billion in additional customer commitments signed early in the third quarter and short-dated contracts priced at approximately $40 million per megawatt.
- Managed by Deutsche Bank and Goldman Sachs, the ATM program could raise about $2.92 billion at Wednesday's closing price, though shares fell more than 2 per cent in premarket trading following the announcement.
- CoreWeave shares have gained over 16 per cent so far this year; the firm retains flexibility on the ATM program, determining whether to sell shares based on market conditions and capital structure objectives.
