CH Robinson to Buy RXO for $5.8B, Combining 3PL Heavyweights
RXO shareholders will get $30.25 a share, and C.H. Robinson expects $300 million in cost savings within two years.
On Monday, C.H. Robinson Worldwide Inc. agreed to acquire RXO Inc. in a cash-and-stock deal valued at about $5.8 billion, strengthening its North American logistics footprint.
A Supreme Court ruling earlier this year exposed brokerages to collision lawsuits, prompting Robinson to pursue $300 million in cost synergies using artificial intelligence to improve operations.
RXO shareholders will receive $30.25 per share, a 29% premium to Friday's closing price, and will hold an 11% stake in the combined organization upon closing.
In New York premarket trading, RXO shares jumped 21% while Robinson stock fell 4.9%, reflecting investor reactions to the pending transaction announcement.
The $25 billion combined logistics firm expects to close in the first half of 2027, with Robinson CEO Dave Bozeman stating the merger will create a more scaled and resilient North American provider.
